Introduction
This Terms of Service ("ToS") document governs the use of Simpla AI provided by Syfy AI Limited. Effective Date: The date on which the user agrees to these terms.
Acceptance of Terms
By accessing or using the service, you agree to be bound by these terms. You must be at least 18 years old and have the authority to enter into this agreement.
Description of Service
Simpla AI is a cloud-based software that provides AI-augmented reference tools for tax and financial advisory, invoice checking, and data analytics. It assists users in their research and discovery of their own financials. Users also have access to one paid verification of advice ('Human in the loop') per month by our local advisory partner. The service is subject to availability and may be updated periodically.
User Accounts and Responsibilities
To use the service, you must create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
Subscription and Payment Terms
Our subscription plan is available on our website. The Starter Plan is priced at $34.99 USD per month if paid monthly or $29.99 USD per month if billed annually in advance. Billing occurs on a monthly or annual basis, dependent on your selection. Your subscription will automatically renew 2 days prior to your renewal date unless canceled in advance. You may cancel your subscription at any time, but refunds are not provided for partial billing cycles.
Free Trial
We offer 30 free uses to new users who register with Simpla. The account will not be charged and the subscription will be suspended until upgraded to a paid version at the end of the free trial.
Cancellation
You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our services, please email us at simplasupport@simpla.ai.
Fee Changes
We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.
Refund Policy
Refunds may be issued if a user has not used the application after subscribing and a request is received within 2 days of the subscription being renewed as a courtesy however we reserve the right to refuse a refund if the service has been used in this period.. Any human advice sign-off completed from the new subscription will invalidate your refund eligibility.
License and Intellectual Property
We grant you a non-exclusive, non-transferable license to use the service. All intellectual property rights in the service belong to Syfy AI Limited.
Use Restrictions
You agree not to reverse engineer, decompile, or disassemble the service. You must comply with all applicable laws when using the service.
Privacy and Data Protection
We collect and use personal data in accordance with our Privacy Policy, which can be found at https://www.simpla.ai/privacy-policy. We implement the highest standards of data protection by employing industry-standard encryption, regular security audits, and strict access controls. Our data protection measures ensure that your personal data is kept secure and confidential, and we adhere to all relevant data protection regulations.
Service Availability and Downtime
We aim to ensure 100% uptime as a standard. All maintenance works, If there are any that affect access to Simpla AI you will be notified via email at least 24 hours prior to any downtime.
User Conduct and Content
Users are expected to use Simpla AI in a responsible and lawful manner. You agree not to engage in any activities that could harm the service, other users, or third parties. Prohibited activities include, but are not limited to, illegal activities, spamming, harassment, and the distribution of malicious software.
Limitations on Human Advice Verification
The advice provided by our local advisory partner ('Human in the loop') is their professional opinion, and Syfy AI Limited accepts no liability for the accuracy or applicability of this advice. Users are advised to consider this advice as part of their broader decision-making process.
Dispute Resolution Process
In the event of any disputes arising from or relating to these terms, we encourage users to contact our support team to resolve the issue amicably. If a resolution cannot be reached, the dispute will be referred to mediation or arbitration before resorting to court proceedings. This approach aims to provide a faster and less costly resolution process.
Service Modifications and Termination
We reserve the right to modify or discontinue the service at any time. Changes to the service or terms will be communicated by email and will also be provided on our website. We may terminate your access to the service if you violate these terms.
Disclaimers and Limitations of Liability
The service is provided "as is" without warranties of any kind. Our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold Syfy AI Limited harmless from any claims arising from your use of the service.
Governing Law and Dispute Resolution
These terms are governed by the laws of Abu Dhabi Global Markets jurisdiction. Any disputes will be resolved through the courts in this jurisdiction.
Changes to the Terms
We may modify these terms at any time. We will notify you of any changes by email or notification in the service.
Miscellaneous
These terms constitute the entire agreement between you and Syfy AI Limited. If any provision is found to be unenforceable, the remaining provisions will remain in effect.
You agree that these terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these terms and the lack of signing by the parties hereto to execute these terms of use.
